Terms of Service

The agreement that governs your use of the TagTier Shopify app and website.

These Terms of Service ("Terms") are a binding agreement between [Your Legal Entity Name] ("TagTier," "we," "us," or "our") and the merchant or person who installs, accesses, or uses the TagTier Shopify application (the "App"), the website at https://tagtier.com (the "Site"), or any related service (collectively, the "Service"). By installing the App or using the Service you agree to these Terms. If you don't agree, don't use the Service.

1. Eligibility and account

1.1 You must have a valid Shopify account in good standing to use the App. You must be at least 18 years old and authorized to bind your business.

1.2 You're responsible for everything that happens under your account, including the actions of your staff and any third party you grant access to. Keep your credentials secure.

1.3 The Service is for businesses. It is not intended for personal, family, or household use.

2. The Service

2.1 TagTier is a Shopify-integrated application that maps customer tags to product prices ("Tag Rules") using the Shopify Admin API, App Proxy, and a theme block that the merchant installs in their theme.

2.2 We may change, add, remove, or improve features at any time. We won't materially reduce functionality of a paid plan you're currently subscribed to without giving you at least 30 days' notice.

2.3 The Service depends on Shopify's APIs, infrastructure, and policies. If Shopify changes them in ways that affect the Service, we'll do our best to adapt promptly but can't be responsible for Shopify-driven disruption.

3. Plans, fees, and billing

3.1 Plans. Current plans and pricing are at /pricing. Plans may include a Free tier (for development stores and stores under specified order thresholds), a Standard tier, and a Plus tier. Plan limits are described on the pricing page.

3.2 Trial. Paid plans include a 14-day free trial. We do not require a credit card to start a trial. If you don't choose a paid plan at the end of the trial, your account will downgrade to the Free tier or be paused, depending on usage.

3.3 Billing. Paid plans are billed monthly through Shopify's Billing API. By subscribing, you authorize Shopify to charge the payment method associated with your Shopify account. Charges appear on your Shopify invoice.

3.4 Taxes. Fees do not include taxes. You're responsible for any applicable VAT, GST, sales tax, or similar levies, and we may add them where required by law.

3.5 Price changes. We may change pricing for any plan with at least 30 days' notice via email or in-app notice. New pricing applies at the start of your next billing cycle.

3.6 Late or failed payments. If a payment fails, Shopify's billing flow will retry. If a payment remains overdue, we may suspend or downgrade your plan until the issue is resolved.

4. Cancellation and refunds

See our Refund Policy for full details. In short:

  • You can cancel any time by uninstalling the App or downgrading to Free.
  • Subscriptions are billed monthly and aren't pro-rated for partial months.
  • We don't generally offer refunds, but we'll review legitimate requests on a case-by-case basis.

5. Acceptable use

You agree not to:

  • Use the Service for anything illegal, fraudulent, or abusive
  • Try to access another merchant's data or systems
  • Reverse engineer, decompile, or copy any part of the Service except where law expressly allows
  • Use the Service to send spam, malicious code, or harmful content
  • Resell, sublicense, or rent the Service without our written agreement
  • Misrepresent your relationship with us, Shopify, Recharge, or any other partner
  • Interfere with the Service's operation, including via load testing or scraping without permission

We may suspend or terminate access for violations of this section, with or without notice depending on severity.

6. Your data and privacy

6.1 You retain all rights to your data ("Customer Data" — meaning your store's customer, product, order, and pricing data that we process on your behalf).

6.2 We process Customer Data as your service provider / processor, governed by our Privacy Policy and Data Processing Addendum.

6.3 You grant us a limited license to use Customer Data only as necessary to provide, secure, support, and improve the Service.

6.4 We may use aggregated, de-identified data (data that does not identify you, your store, or your customers) for analytics, benchmarking, and product development.

7. Intellectual property

7.1 We own the Service, including all software, code, designs, brand assets, documentation, and content we create. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service while your subscription is active and you comply with these Terms.

7.2 You own your content and your data.

7.3 Feedback you give us about the Service is non-confidential, and we may use it without obligation.

7.4 You may not use TagTier names, logos, or marks except for fair, accurate references that don't imply endorsement.

8. Third-party services

The Service interoperates with Shopify, Recharge, and other third-party tools. Your use of those services is governed by their own terms. We aren't responsible for their performance, pricing, or policies.

9. Service availability and SLA

9.1 We aim for high availability but don't guarantee uninterrupted operation. Scheduled maintenance, third-party outages (including Shopify outages), and force-majeure events may cause downtime.

9.2 Plus plan customers are covered by a Service Level Agreement set out in the Plus plan order form (available on request from legal@tagtier.com). The Standard plan does not include an SLA.

9.3 Sole remedy for SLA misses is service credits as defined in the SLA.

10. Confidentiality

Each party will protect the other's non-public information ("Confidential Information") with at least the care it uses for its own confidential information, and use it only as needed to perform under these Terms.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.

We don't warrant that the Service will be error-free, secure, or that pricing rules will always behave exactly as you expect across every Shopify edge case. You are responsible for testing rules on a development store before publishing them to production.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

  • Neither party is liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business opportunity, or lost data.
  • Our total aggregate liability under these Terms in any 12-month period will not exceed the greater of (a) the fees you paid us in the 12 months before the event giving rise to the claim, or (b) USD $100.

These limits apply regardless of legal theory and even if we've been advised of the possibility of such damages. Some jurisdictions don't allow these limits — in that case, they apply to the maximum extent permitted.

13. Indemnification

You'll defend, indemnify, and hold us harmless from third-party claims arising out of (a) your breach of these Terms, (b) your misuse of the Service, (c) your content or data, or (d) your violation of any law or third-party right. We'll defend, indemnify, and hold you harmless from third-party claims that the Service infringes a registered patent, copyright, or trademark, subject to the limits in Section 12.

14. Term and termination

14.1 These Terms apply from your first use of the Service until terminated.

14.2 You may terminate at any time by uninstalling the App.

14.3 We may terminate or suspend your access for material breach (with notice and a 14-day opportunity to cure where reasonable), legal compliance, or to protect the Service.

14.4 On termination, your access ends and we'll delete Customer Data per our retention rules in the Privacy Policy.

14.5 Sections that by their nature should survive (IP, confidentiality, disclaimers, liability, indemnification, governing law) survive termination.

15. Governing law and disputes

15.1 These Terms are governed by the laws of [Your Jurisdiction — e.g., England & Wales, Delaware, etc.], excluding conflict-of-laws rules.

15.2 The parties will try in good faith to resolve disputes informally first by contacting legal@tagtier.com.

15.3 Any unresolved dispute will be subject to the exclusive jurisdiction of the courts of [Your Jurisdiction], except that either party may seek injunctive relief in any court of competent jurisdiction to protect its IP or confidential information.

15.4 Customers in the EU/UK retain consumer rights under their local law where mandatory.

16. Changes to these Terms

We may update these Terms. Material changes will be communicated by email or in-app at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

17. Miscellaneous

  • Entire agreement. These Terms, together with the Privacy Policy, DPA, and any order form, are the entire agreement between us on the subject.
  • Assignment. You can't assign these Terms without our consent. We can assign them in connection with a merger, acquisition, or asset sale.
  • No waiver. Failure to enforce any provision isn't a waiver.
  • Severability. If a provision is held unenforceable, the rest still applies.
  • Notices. We'll send legal notices to the email associated with your account. You can reach us at legal@tagtier.com.
  • Force majeure. Neither party is liable for delays or failures due to events beyond reasonable control.
  • No agency. Nothing here creates a partnership, agency, or employment relationship.
